El Salvador's 2023 and 2025 external debt purchase offer launched

The President of the Republic, Nayib Bukele, announced through his social networks that the offer to purchase the external debt maturing from 2023 to 2025 represented in bonds has been officially launched.

All bondholders of the Republic of El Salvador can access this public and voluntary repurchase, said the president.

The PR NEWSWIRE website states that the invitation dated September 12, 2022 indicates that the total amount should not exceed US$360 million, with the purpose of purchasing the principal amount of the Bonds accepted for the offer and paying the accrued interest and any premium with respect to such Bonds.

Settlement of the validly tendered and accepted Notes is scheduled for approximately september 22, 2022 with no extension of time to maturity.

Acceptance of Bonds tendered may be subject to proration if the amount to purchase the principal amount of Bonds tendered and pay Accrued Interest and any premium with respect to such Bonds is greater than the Aggregate Maximum Tender Amount.

El Salvador reserves the right, in its sole discretion, to accept only a portion of the Bonds tendered in the event the Maximum Tender Amount is reached, to not accept any or all of the Bonds tendered and to extend or terminate the Invitation with respect to any one or more series for any reason. There is no priority among each series of Bonds and El Salvador may decide in its sole discretion the aggregate principal amount of each series of Bonds to be accepted for purchase.

El Salvador reserves the right, at its sole discretion, to decrease the aggregate Maximum Tender Amount.

Any holder desiring to tender Notes must (a) submit them through The Depository Trust Company ("DTC") pursuant to DTC's Automated Tender Offer Program ("ATOP"), and (b) apply to the broker, dealer, commercial bank, trust company or other nominee to effect the transaction. Notes tendered pursuant to the Invitation may only be withdrawn in accordance with the procedures specified in "The Invitation: Irrevocability; Withdrawal Rights", prior to the maturity date, but not thereafter. El Salvador is issuing the Invitation only in those jurisdictions where it is legal to do so. There is no letter of transmittal of the Invitation.
