Transitory decree issued so that board meetings can be held virtually

Deputies of the Economy Committee of the Legislative Assembly, issued a favorable opinion to the transitory provisions that seek to enable the meetings of boards of directors of legal entities through electronic means, which seek to favor the salvadoran economy.

In view of the current sanitary situation, the deputies have requested this initiative to provisionally establish that the meetings of the boards of directors of the Variable Capital Corporations (S.A de C.V.), be held virtually, through any electronic platform.

If this initiative is approved in plenary session, it will be of great benefit for the members of the corporations, because in this way the representatives of the companies or organizations will be able to hold the meetings from their homes.

In addition, the technological means must comply with the security and confidentiality measures for the participation of its members, applying the provisions of the second and third paragraphs of article 258 of the Code of Commerce.

Article 258 of the Code of Commerce, which refers to the meetings of the Board of Directors, indicates that these may be held through videoconferences, when one or some of its members or the majority of them are located in different places, inside or outside the territory of the Republic.

Of the responsibility to record by any means that technology allows the videoconference and to make a literal transcription of the agreements taken and record them in the corresponding minute book.

The recent approval of the electronic signature could benefit this reform that could facilitate the administrative processes to the representatives and other members of the Corporations.
